I think it's just all the characters as they become available. I got the 5 for free from M$. Unless you're a hardcore fighting game fan/hardcore Killer Instinct fan, it's definitely not worth it. The servers don't even let you connect to friends 99% of the time either.

IMO just buy the $20 one, you get all the same characters (everyone and Fulgore), the only difference with the $40 is that you get exclusive weapons / armor per fighter, but that's purely cosmetic and not really worth it. You also get Killer Instinct arcade (the original game in arcades from the '90s), but personally I found it really hard, and can't even get one achievement in it. In hindsight the $20 option is better.

Amazon bought out Double Helix (Killer Instinct developer) today. Shouldn't mean anything for the future of Killer Instinct, but Microsoft will be paying Amazon. They did a good job, so it seems good for that company.

Iron galaxy studios was named to be the successor of double helix, they worked on a lot of cap com fighting game ports and dive kick amongst other games.
